1. Acceptance Of These Terms
These Terms and Conditions (“Terms”) form a legally binding agreement between Altrixima Technologies, a sole proprietorship operating from Guwahati, Assam, India (“Altrixima”, “we”, “us” or “our”), and the business, organisation or individual accepting these Terms (“Client”, “you” or “your”). “Altrixima Connect” means our web-based business communication and automation platform, including related dashboards, APIs, support and documentation.
By creating an account, starting a trial, purchasing a subscription, clicking an acceptance checkbox, or using the Platform, you confirm that you have read and accepted these Terms and our Privacy Policy. If you accept on behalf of a business, you confirm that you have authority to bind that business.
2. Platform And Services
Altrixima Connect may provide features such as WhatsApp Business Platform connectivity, team inbox, contacts, campaigns, message templates, CRM, lead tracking, keyword replies, AI-assisted or automated replies, booking workflows, analytics, wallet management, APIs and webhooks.
Features, limits, availability and supported integrations depend on the selected plan, technical readiness, Meta or third-party approvals, and the information displayed during purchase or onboarding. We may improve, replace, add or retire features where reasonably necessary.
3. Eligibility And Authority
You must be legally capable of entering into a contract and must use the Platform for legitimate business purposes. You are responsible for obtaining all registrations, licences, notices, permissions and internal approvals required for your business, industry and intended communications.
You must not represent yourself as another business, use misleading identity information, or use a brand, phone number, domain, customer list or content without lawful authority.
4. Accounts, Verification And Onboarding
You must provide accurate, current and complete business, contact, billing and verification information. You are responsible for the authorised users created under your account and all actions performed through their credentials.
Meta, WhatsApp, payment providers and other third parties may require additional verification. Approval of a business portfolio, display name, phone number, message template, verification badge or other third-party asset is decided by the relevant third party. We do not guarantee approval or any specific review timeline.
You must maintain access to the registered phone number, email account, business portfolio and required verification methods. Delays caused by missing documents, inaccessible accounts or inaccurate information are the Client’s responsibility.
5. Meta And WhatsApp Requirements
Altrixima Connect facilitates business communication through third-party services, including Meta’s WhatsApp Business Platform. WhatsApp, Meta and their logos are trademarks of their respective owners. Altrixima Technologies is not Meta or WhatsApp and does not control their systems, policies, pricing, review decisions or enforcement actions.
Your WhatsApp obligations
- Obtain valid customer opt-in before sending template or promotional messages, clearly identifying your business and the type of messages the person agrees to receive.
- Maintain an accurate business profile and working customer-support contact information.
- Use approved templates in the correct category and send messages only for lawful, expected and relevant purposes.
- Honour opt-out, unsubscribe, stop and blocking requests promptly.
- Comply with the WhatsApp Business Messaging Policy, WhatsApp Business Terms, WhatsApp Commerce Policy, technical documentation and applicable laws.
- Maintain records showing how and when customer consent was obtained.
Meta or WhatsApp may warn, restrict, suspend, lock or permanently disable a business account or phone number for spam, poor quality, prohibited content, policy violations, misleading templates or other risk. Altrixima is not liable for such third-party actions where they are not caused by our breach.
6. Customer Data, End-User Data And Consent
You retain responsibility for the contacts, conversations, files, templates, business knowledge, appointment details and other information submitted to the Platform (“Client Data”). Between you and Altrixima, you determine why Client Data is collected, whom you message, what content is sent and how long the data is needed.
You confirm that you have all permissions, notices and lawful grounds required to collect, upload, disclose and process Client Data and to authorise Altrixima and relevant service providers to process it for providing the Platform.
For account, billing, website and direct marketing information collected by Altrixima for our own purposes, Altrixima acts as the responsible data fiduciary/controller. For contacts and communications processed on your instructions, Altrixima generally acts as a data processor/service provider on your behalf.
7. Limited Licence
Subject to payment and compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable and non-sublicensable right to access and use the Platform for your internal business operations during the active trial or subscription.
No ownership in the Platform, source code, design, documentation, trademarks, algorithms, workflows or other intellectual property is transferred to you.
8. Acceptable Use And Prohibited Conduct
You must not, and must not permit another person to:
- send spam, unsolicited bulk messages or communications without required consent;
- send unlawful, fraudulent, deceptive, threatening, hateful, exploitative, obscene, defamatory or infringing content;
- promote prohibited or restricted products or services contrary to law or WhatsApp policies;
- impersonate another person or business, conceal the sender, or mislead recipients about message purpose;
- upload malware, malicious code, stolen data or data you are not authorised to process;
- circumvent limits, security controls, billing, authentication or usage restrictions;
- reverse engineer, decompile, copy, scrape, frame, mirror, resell or use the Platform to build a competing product;
- interfere with Platform availability, other customers, Meta systems or connected providers;
- use the Platform for political campaigning or other categories prohibited by Meta or applicable law;
- use AI features to generate unlawful, unsafe or misleading advice or content.
9. AI-Assisted And Automated Features
AI features may suggest, classify, summarise or generate responses using business information, conversation context and configured instructions. AI output may be incomplete, inaccurate or unsuitable. Unless a workflow is intentionally configured for automation, users should review AI output before sending it.
You are responsible for configuring business knowledge, guardrails, escalation rules, prohibited topics and human handover. AI output is not a substitute for qualified medical, legal, financial or other professional advice.
We may use approved third-party AI infrastructure to process prompts and relevant content for delivering the requested feature. Further information is provided in our Privacy Policy.
10. Free Trial
We may offer a seven-day or other stated trial with selected limits. Trial features, contact limits, included messages and availability may differ from paid plans. Any included free messages are promotional credits and have no cash value.
After included trial messages are used, further messaging may require wallet funds. A trial does not automatically become a paid subscription unless you actively purchase a plan or expressly authorise payment or auto-renewal.
We may refuse, modify or end a trial where reasonably necessary to prevent abuse, duplicate trials, fraud, security risk or policy violations.
11. Subscription Fees, Message Charges, Wallet And Taxes
Subscription fees provide access to the plan features and limits described on the pricing page or order screen. Message usage, Meta charges, AI usage, booking usage, add-ons, additional numbers, integrations or services may be charged separately where disclosed.
Wallet credits are prepaid, non-transferable and generally non-refundable except where required by law or expressly approved by us. Sufficient wallet balance may be required to send messages or use metered features. If the balance is insufficient, the affected feature may pause until funds are added.
WhatsApp, Meta and other provider rates may change. We may update corresponding usage rates after giving reasonable notice or updating the pricing page. Usage already incurred remains payable.
Prices displayed as “final” include Altrixima’s stated subscription price and do not include hidden Altrixima subscription charges. Statutory taxes will be charged only when legally applicable and shown during purchase or invoicing. At present, Altrixima Technologies does not charge GST unless and until legally required or registered to do so.
Your bank, card issuer, payment gateway, telecom provider or other third party may impose its own charges, which are not controlled by Altrixima.
12. Renewal, Cancellation And Refunds
A subscription may be monthly, annual or for another disclosed term. Where auto-renewal is offered, it will be activated only with your express consent. You may disable future renewal before the renewal date using the available account controls or by contacting support.
Cancellation stops the next renewal but does not normally end the already-paid term early. Except where required by law, caused by our verified failure, or approved in writing, subscription fees, wallet credits, message charges, setup work and consumed services are non-refundable. We do not normally provide refunds for partial periods, unused allowances, downgrades, policy enforcement by Meta, or a Client’s failure to complete onboarding.
Billing disputes must be raised promptly with supporting details. Undisputed amounts remain payable.
13. Third-Party Platforms And Services
The Platform may depend on Meta, WhatsApp Cloud API, hosting, payment gateways, email delivery, analytics, AI providers, telecom networks and other third-party services. Their terms, privacy policies, technical limits and availability also apply.
We are not responsible for third-party outages, policy changes, approvals, pricing changes, account restrictions, data-centre locations or failures outside our reasonable control. We may change a provider or integration where needed to maintain or improve the Platform.
14. Account Security
You are responsible for safeguarding passwords, OTPs, tokens, business-manager access, API keys and authorised devices. Do not share credentials through unofficial links or with unauthorised persons.
You must notify us promptly of suspected compromise, unauthorised access, data loss or misuse. We may reset credentials, restrict access or require additional verification to protect the Platform.
15. Availability, Maintenance And Support
We use commercially reasonable efforts to keep the Platform available, but do not guarantee uninterrupted or error-free operation. Maintenance, updates, security work, provider outages, internet failures and force majeure events may affect availability.
Support is provided through the channels and hours published on our website or plan. Response time varies by priority, plan and issue complexity. Unless separately agreed in writing, support does not include custom development, third-party troubleshooting, data cleansing, marketing strategy or legal compliance advice.
16. Intellectual Property
Altrixima and its licensors retain all rights in the Platform, software, brand, interfaces, documentation, templates, workflows and improvements. You retain ownership of Client Data and grant us a limited right to host, transmit, process and display it only as necessary to provide, secure and improve the Platform.
You may provide suggestions or feedback. Unless otherwise agreed, we may use non-confidential feedback without payment or restriction.
17. Confidentiality
Each party may receive non-public business, technical or commercial information from the other. The receiving party will use reasonable care, use the information only for the relationship, and disclose it only to personnel or service providers who need it and are subject to appropriate obligations.
Confidentiality does not cover information already lawfully known, independently developed, lawfully received from another source, publicly available without breach, or required to be disclosed by law.
18. Suspension And Termination
We may suspend or limit access where reasonably necessary because of non-payment, insufficient wallet balance, security risk, suspected fraud, unlawful activity, spam, Meta or WhatsApp enforcement, material breach, harm to another customer, or risk to the Platform or third parties.
Where practical, we will provide notice and an opportunity to correct the issue. Immediate action may be taken for urgent security, legal or policy risks.
Either party may terminate as permitted by the subscription terms. We may terminate an account for material or repeated breach, illegal use, insolvency, prolonged inactivity or permanent third-party disablement affecting service delivery.
19. Data Export And Deletion After Termination
Before termination, you should export information you need where an export feature is available. After termination, access may stop immediately.
Subject to legal, security, billing and backup requirements, we will delete or anonymise Client Data within a reasonable period after a valid deletion request or account closure. Residual copies may remain temporarily in backups until overwritten. Aggregated or de-identified information may be retained for analytics, security and improvement.
Data processed by Meta, payment providers or other third parties is subject to their own retention and deletion processes.
20. Disclaimers
The Platform is provided on an “as available” and “as is” basis to the maximum extent permitted by law. We do not warrant that every feature will meet every business requirement, that messages will always be delivered or read, that AI output will be accurate, or that Meta will approve or maintain any account, template, number or verification status.
You remain responsible for business decisions, message content, recipient consent, professional advice, regulatory obligations, backups and the suitability of the Platform for your use case.
21. Limitation Of Liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, punitive or consequential loss, or loss of profits, revenue, goodwill, business opportunity or data, arising from the Platform.
Altrixima’s total aggregate liability relating to the Platform will not exceed the subscription fees paid by the Client to Altrixima during the twelve months immediately preceding the event giving rise to the claim. This limitation does not apply where liability cannot lawfully be excluded or limited.
22. Client Indemnity
You agree to defend and indemnify Altrixima, its proprietor, personnel and service providers against third-party claims, losses and reasonable costs arising from your Client Data, message content, recipient lists, lack of consent, unlawful or prohibited use, infringement, breach of these Terms, or violation of Meta, WhatsApp or applicable legal requirements.
23. Force Majeure
Neither party is responsible for delay or failure caused by events beyond reasonable control, including natural disaster, internet or cloud outage, government action, war, civil disturbance, labour disruption, epidemic, cyberattack not caused by that party’s negligence, or failure of Meta, telecom, hosting or payment infrastructure. Payment obligations for services already used remain due.
24. Changes To These Terms Or The Platform
We may update these Terms for legal, regulatory, security, product or business reasons. The revised date will be shown on this page. Material changes may also be communicated through the Platform or registered contact details. Continued use after the effective date constitutes acceptance, except where law requires additional consent.
25. Governing Law And Dispute Resolution
These Terms are governed by the laws of India. The parties will first attempt to resolve any dispute through good-faith discussions for at least thirty days after written notice.
If the dispute is not resolved, it may be referred to a sole arbitrator mutually appointed under the Arbitration and Conciliation Act, 1996. The seat and venue will be Guwahati, Assam, the language will be English, and the courts at Guwahati will have jurisdiction for matters not subject to arbitration and for interim or enforcement relief.
